Material Fact – Aracati Complex Acquisition


ALUPAR INVESTIMENTO S.A. (“Company” or “Alupar”), a publicly-held company registered with the Brazilian Securities and Exchange Commission (“CVM”) under number 2149-0, in compliance with CVM Instruction 358, of January 3, 2002, as amended, hereby informs its shareholders and market in general that, on this date, it won the public bidding procedure, carried out as competitive bidding, for the sale of the equity interests held by Furnas Centrais Elétricas S.A. in the Aracati complex, a center of wind power generation established in the state of Ceará, comprising five wind farms concentrated in an area that forms a wind power complex, made up by the companies Energia dos Ventos I S.A., Energia dos Ventos II S.A, Energia dos Ventos III S.A, Energia dos Ventos IV S.A and Energia dos Ventos X (“Aracati Wind Farms”). The Company clarifies that it already holds an interest of 50.99% in the total capital stock of each one of the Aracati Wind Farms. Consequently, with this acquisition, it will hold 99,99% of the capital stock of the respective companies.

The transaction for the sale and acquisition of the equity interests held by Furnas Centrais Elétricas S.A. in the Aracati complex involves the aggregate amount of forty-five million, six thousand, four hundred and two reais (R$45,006,402.00), being still subject to approval by CADE, Brazil‘s antitrust authority. The Company will keep its shareholders and the market in general informed of the progress of said acquisition before CADE.
