Material Fact – Acquisition of Empresa Catarinense de Transmissão de Energia Common Shares

MATERIAL FACT

ALUPAR INVESTIMENTO S.A. (“Company” or “Alupar”), a publicly held company, registered with the CVM under number 2149-0, pursuant to Article 157, paragraph 4, of Law 6404, of December 15, 1976, as amended, and Instruction 358 issued by the Brazilian Securities and Exchange Commission (“CVM”) on January 3, 2002, as amended, informs its shareholders and the market in general that, on this date, in compliance with the Share Purchase Agreement entered into with MDU Sul Transmissão de Energia Ltda. (“MDU Sul”), on November 10, 2009, it acquired 1,053,429 registered, non-par common shares, equivalent to 2.5% of the total capital of Empresa Catarinense de Transmissão de Energia S.A. (“ECTE”), related to the forty and last lot of shares.

The shares were acquired from MDU Resources Luxembourg II LLC S.à.r.l, the legal successor of MDU Sul, for the amount of R$ 4,720,000.00, on the transfer of shares and the right to receive the already declared and unpaid dividends by ECTE for these shares.

Due to this acquisition, the Company now holds 50.02% of the capital of ECTE.
